These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Elite Analytic ("Elite Analytic," "we," "our," or "us") governing your access to and use of the Elite Analytic platform, website, and all associated services (collectively, the "Service").
By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

Elite Analytic provides a subscription-based software platform that includes, among other features:
We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice, and without liability to you. We will endeavour to provide advance notice of material changes where practicable.
5.1 Plans. Elite Analytic offers the following subscription tiers: Free, Pro, and Elite. Plan features and current pricing are described on the Pricing page and may be updated from time to time.
5.2 Billing. Paid subscriptions are billed on a recurring basis (monthly or annually, as selected at checkout). By subscribing, you authorise us to charge your designated payment method at the start of each billing period.
5.3 Price Changes. We reserve the right to change subscription prices. We will provide at least 30 days' advance notice of any price increase. Your continued use of the Service after the price change takes effect constitutes your agreement to the new pricing. If you do not agree, you may cancel before the new price takes effect.
5.4 Payment Processing. Payments are processed by Stripe. By providing payment information, you also agree to Stripe's terms of service. We do not store your full card details.
5.5 Taxes. All prices are exclusive of applicable taxes (VAT, GST, sales tax, etc.). You are responsible for any taxes applicable to your subscription under the laws of your jurisdiction. Where required by law, we will collect and remit applicable taxes.
5.6 Failed Payments. If a payment fails, we will retry the charge. If the issue persists, your account may be downgraded to the Free plan until payment is resolved. We will notify you of any payment failures.
We offer a 14-day free trial of the Pro plan for new subscribers. The following conditions apply:
7.1 Cancellation. You may cancel your paid subscription at any time from your account settings. Upon cancellation, you will retain access to your paid plan features until the end of your current billing period. After that, your account will revert to the Free plan.
7.2 No Automatic Refunds. All subscription fees are non-refundable, except as required by applicable law or as set out below.
7.3 30-Day Satisfaction Guarantee. If you are not satisfied with your subscription for any reason, you may request a full refund within 30 days of your initial paid subscription (not applicable to renewals). Contact us at support@eliteanalytic.com to request a refund under this policy.
7.4 Annual Plan Refunds. For annual subscriptions cancelled after the 30-day satisfaction guarantee period, we will provide a pro-rated refund for the unused full months remaining, at our discretion and in accordance with applicable consumer protection laws.
7.5 Statutory Rights. Nothing in these Terms limits any statutory rights you may have under applicable consumer protection law that cannot be waived by contract.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

9.1 Our Property. The Service and all of its content, features, and functionality — including but not limited to the software, algorithms, design, text, graphics, logos, AI models, the Quant Lab simulator, and Neural Reset methodology — are owned by Elite Analytic or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial trading journaling purposes.
9.2 Restrictions. You may not copy, modify, create derivative works from, distribute, sell, or otherwise exploit any part of the Service or its content without our prior written consent.
9.3 Feedback. If you submit ideas, suggestions, or feedback to us ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use and incorporate such Feedback into the Service without any obligation to you.
10.1 Ownership. You retain full ownership of all trade data, journal entries, notes, screenshots, and other content you upload or input into the Service ("Your Content"). We do not claim any ownership over Your Content.
10.2 Licence to Us. By uploading Your Content, you grant us a limited, non-exclusive, royalty-free licence to store, process, and display Your Content solely for the purpose of providing the Service to you. We do not use Your Content to train shared AI models or disclose it to third parties, except as described in our Privacy Policy.
10.3 Data Export. You may export your trade data and journal entries at any time from within the Service in standard file formats. Following account termination, export may not be available.
10.4 Accuracy. You are solely responsible for the accuracy, completeness, and legality of Your Content. We are not responsible for errors in Your Content or for any trading decisions made based on inaccurate data.
To the fullest extent permitted by applicable law, Elite Analytic expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:
The Service does not provide financial advice, investment advice, legal advice, or any other professional advice. All analytics, AI insights, Quant Lab simulations, and performance scores are informational tools only. Past performance analysis does not guarantee future results. To the maximum extent permitted by applicable law, in no event shall Elite Analytic, its directors, employees, partners, agents, suppliers, or licensors be liable for:
Our total cumulative liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the total amount you paid to us in the 12 months immediately preceding the claim, or (b) USD $100.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law. Nothing in these Terms limits liability for fraud, gross negligence, or wilful misconduct.
You agree to defend, indemnify, and hold harmless Elite Analytic, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:
14.1 By You. You may terminate your account at any time by using the account deletion feature within the Service or by contacting us at support@eliteanalytic.com.
14.2 By Us. We may suspend or terminate your account and access to the Service immediately and without prior notice if we believe, in our sole discretion, that you have violated these Terms or that your actions may cause legal liability or harm to us, other users, or third parties.
14.3 Effect of Termination. Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution) shall survive.
14.4 Data Upon Termination. Following account deletion, we will handle your data as described in our Privacy Policy. You are responsible for exporting any data you wish to retain before termination.
15.1 Informal Resolution. Before initiating any formal legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at legal@eliteanalytic.com. We will endeavour to resolve the dispute within 30 days.
15.2 Binding Arbitration (US Users). If informal resolution fails and you are located in the United States, you and Elite Analytic agree to resolve any dispute through binding individual arbitration rather than in court, except that either party may bring claims in small claims court if the claims qualify. THE PARTIES WAIVE THEIR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS.
15.3 EU / UK Consumer Rights. If you are a consumer in the EU or UK, mandatory consumer protection laws of your country of residence may apply and may grant you rights that cannot be restricted by these Terms. Nothing in this section waives those rights.
These Terms and any dispute arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
For users in the EU or UK: mandatory provisions of the consumer protection laws of your country of habitual residence will apply in addition to or instead of the above where required by applicable law.
